Corey’s corporate law practice focuses on advising venture capital and private equity fund sponsors and public and private companies on transactions, securities, and business matters. He handles structuring and closing of alternative investment funds; mergers, acquisitions and divestitures; and joint ventures and strategic alliances, reorganizations, and recapitalizations.
Corey advises clients throughout Virginia, including community banking institutions, investment advisory firms, entrepreneurs and emerging growth companies, and healthcare institutions on all aspects of their businesses, including structuring, governance and financing, mergers and acquisitions, joint ventures, business entity and securities laws, and general business, commercial, and compliance matters.
Corey routinely advises numerous publicly-traded clients on securities issues specific to public companies and assists with preparing and filing registration statements, proxy statements, and annual, quarterly, and current reports.
He also has developed a niche in advising one of Virginia’s largest nonprofit healthcare systems as well as one of Virginia’s fastest-growing managed healthcare organizations and insurance carriers in navigating the complex legal and regulatory issues unique to their industries. He has counseled both the healthcare system and the managed care organization on compliance and governance, with a particular focus on Medicare compliance and federal and state anti-referral and anti-kickback laws.
Corey was previously general counsel, managing member, and a founder of a Virginia-based start-up holding company that invested in online commerce assets, through which he gained experience in marketing, licensing, payment processing, copyright and trademark management, and online privacy and policies. He also developed skills in strategy, capital deployment, accounting, retail and wholesale marketing, sales and branding, supply chain management, distribution and logistics, and social media management. More importantly, he gained a unique perspective of what it takes to be a successful entrepreneur and the challenges faced by emerging growth companies. Following more than five years of aggressive growth, Corey sold the business in early 2016.
Corey joined Edmunds & Williams in 2016 and became part of the Woods Rogers Vandeventer Black’s (WRVB) team of attorneys when the firms merged in October 2016. Corey began his legal career with a top-tier AM LAW 100 global law firm. He spent nearly six years as a member of the firm’s nationally-recognized private equity practice group.
A native of Lynchburg, Corey earned his J.D. and M.B.A. degrees simultaneously at the University of Richmond, where he was also editor-in-chief of Richmond Journal of Global Law & Business. He completed his undergraduate degree at the University of Virginia and then earned a post-baccalaureate certificate in Information Systems at Virginia Commonwealth University. In October 2019, the Lynchburg City Council appointed Corey to the Board of Directors of the Lynchburg Business Development Centre.
Corey enjoys hiking, hunting and fishing, and Southern literature. He also likes to explore the Caribbean, especially the Turks & Caicos Islands.
